Client Terms and Conditions

Welcome to FOUND Health. These Terms and Conditions (together with our Privacy Policy and, where applicable, your Membership Proposal) set out the basis on which we provide our services to you. They apply from the point of your Initial Discussion and, if you choose to continue, throughout your Membership.

Please read these Terms carefully before your Initial Discussion. They are written to be clear and accessible. If anything is unclear, we are always happy to talk you through them before you proceed.

By accepting these Terms (whether by signature, electronic acceptance or proceeding with your Initial Discussion), you agree to be bound by them. You are under no obligation to proceed to Membership following your Initial Discussion; if you do, the Membership terms in Section 5 will take effect.

1.  DEFINITIONS

The following words have the meanings set out below. Other words have the meanings given to them in context.

“Authorised Representative” a person expressly authorised by you in writing to act on your behalf in relation to these Terms or your Membership.

“CareMap” the personalised document prepared by your FOUND Health team following the Initial Discussion, drawing together your health history, priorities, and the observations of your FOUND Health team and Programme Providers, reviewed by a Clinical Advisor before presentation to you. During your Membership, the CareMap is maintained as a living record updated to reflect your evolving health journey.

“Clinical Advisor” the qualified clinician engaged by FOUND Health in an internal oversight capacity. The Clinical Advisor's role is to review FOUND Health's coordination work and confirm that it has remained within the scope of navigation and coordination and has not strayed into clinical recommendation. The Clinical Advisor reviews the CareMap before it is presented to you. The Clinical Advisor does not attend client consultations, is not client-facing, and does not make onward referrals. They are an oversight function internal to FOUND Health and do not hold a clinical relationship with you. 

“Commencement Date” the date on which your Membership begins, as confirmed in your Membership Proposal.

“Consultation Fee” the one-off fee payable for the Initial Discussion, as notified to you prior to booking.

“Explore Fee” the fee payable for your chosen tier of the Explore Product, as set out in your Explore Proposal.

“Explore Product” a standalone scientific research service available to you following your Initial Discussion, through which FOUND Health undertakes bespoke research into scientific literature, emerging evidence and treatment options relevant to your health priorities. The Explore Product is independent of the Membership and does not form part of your ongoing navigation and governance services. It is available in tiered formats, as set out in your Explore Proposal.

“Explore Proposal” the written proposal issued by FOUND Health setting out the scope, tier, deliverables and fee for your Explore Product engagement.

“Explore Report” the written output delivered by FOUND Health at the conclusion of your Explore Product engagement, setting out the findings of FOUND Health's scientific research relevant to your health priorities.

“FOUND Health, we, us, our” FOUND Health Limited, a company registered in England and Wales with company number 17040332, whose registered office is at Flat 1 74A Lower Richmond Road, London, England, SW151LL.

“Health Data” all health-related information about you collected or generated in connection with the Services, including your medical history, clinical correspondence, diagnostic test results, imaging, information you share voluntarily during the Initial Discussion, and data from Wearables.

“Initial Discussion” the structured engagement session (or sessions) with your FOUND Health team during which you share your health history and priorities, and we, with the input of Programme Providers where relevant, prepare your CareMap. The Initial Discussion is governed by the Phase 1 terms in Section 4.

“Member, you, your” the individual who has accepted a Membership Proposal and entered into a Membership with FOUND Health.

“Membership” the ongoing subscription to FOUND Health's navigation and governance services described in Section 5, activated on written acceptance of a Membership Proposal.

“Membership Fee” the fee payable for the Membership, as set out in your Membership Proposal.

“Membership Proposal” the written proposal issued by FOUND Health following your Initial Discussion, setting out the proposed Services, Membership Fee, Term and any bespoke arrangements for your Membership.

“Navigation Providers”  the specialist clinicians, clinics, hospitals, diagnostic providers, wellness practitioners and other healthcare service providers who are part of FOUND Health's curated partner network or otherwise identified by FOUND Health in the course of coordinating your care, and with whom FOUND Health coordinates on your behalf following your selection and written instruction. FOUND Health does not recommend specific Navigation Providers; it presents options for your consideration and coordinates access only once you have made and confirmed your choice.

“Programme Providers” the specialist practitioners engaged by FOUND Health under service agreements who both contribute expert input during the preparation of your CareMap and, where applicable, deliver programmes and services directly to you during your Membership. Programme Providers may include, but are not limited to, practitioners in personal training and exercise, nutrition, and health and life coaching. Where a General Practitioner “GP” is engaged as a Programme Provider, they provide independent clinical input within their own professional responsibilities and are not directed by FOUND Health on clinical matters. Programme Providers are bound by confidentiality and data processing obligations to FOUND Health. They are distinct from Navigation Providers.

“Service Tools” the third-party software applications and digital tools used by FOUND Health to deliver the Services, store Health Data and provide you with access to your CareMap and related information. These applications are provided by independent third-party suppliers, are not developed or owned by FOUND Health, and are subject to those suppliers' own terms and conditions.

“Services” all services provided by FOUND Health under these Terms, including the Initial Discussion, preparation of your CareMap and, where applicable, the ongoing Membership services described in Section 5 and, where applicable, the Explore Product described in Section 5A.

“Term” the period of your Membership as set out in your Membership Proposal, subject to these Terms.

“Wearables” wearable devices, remote monitoring tools and health tracking applications that you choose to connect to the Service Tools during your Membership to share health data with your FOUND Health team.

 

References to legislation include any amendment, extension or re-enactment. References to writing include email.

2.  ABOUT FOUND HEALTH

2.1   FOUND Health is a premium healthcare navigation and governance service. We are not a clinic, GP practice or medical provider. Our role is to act as your dedicated healthcare partner: building a comprehensive picture of your health, organising and synthesising your care, and ensuring that your healthcare journey is joined-up.

2.2   We work alongside, not instead of, your existing medical team. We hold your complete picture, join the dots between your specialists, surface the right questions and ensure that nothing falls through the gaps.

2.3   Because we are a navigation and governance service, we do not diagnose, treat or prescribe. Where clinical services are required, these are delivered by Navigation Providers under their own professional responsibilities and separate agreements. FOUND Health's Clinical Advisor provides internal oversight of our coordination work to confirm we have remained within our scope. This is an internal function; the Clinical Advisor does not engage with clients directly and does not make clinical recommendations or referrals.

2.4   FOUND Health is a human-led service. Every piece of work we deliver, including your CareMap, care coordination, synthesis of clinical information, and governance oversight, is carried out by members of your FOUND Health team. Where artificial intelligence (AI) tools are used to support or augment that work, every output produced with AI assistance is reviewed, verified and approved by a qualified human team member before it is used or shared with you. No AI-generated content forms part of your Services unless it has first been checked and validated by a person.

3.  HOW OUR SERVICE WORKS

3.1   Our service operates in two phases.

(a)    Phase 1 – Initial Discussion. A one-off, standalone engagement through which we build a comprehensive picture of your health and prepare your personalised CareMap. Phase 1 is governed by Section 4.

(b)   Phase 2 – Membership. The ongoing navigation and governance subscription available to you following your Initial Discussion, if you choose to proceed. Phase 2 is governed by Section 5.

(c)    Phase 3 – Explore Product. A standalone service available to some individuals and governed by Section 5A.

3.2   These Terms apply to both phases. By accepting these Terms, you agree to the terms applicable to Phase 1. The Phase 2 Membership terms in Section 5 will take effect only if and when you accept a Membership Proposal in writing.

3.3   You are under no obligation to proceed to Membership following your Initial Discussion. After your CareMap has been presented, FOUND Health will issue a Membership Proposal for your consideration; acceptance is entirely at your discretion.

 

4.  PHASE 1: INITIAL DISCUSSION

4.1   The Initial Discussion is the foundation of our service. Over one or more sessions with your FOUND Health team, we will:

(a)    listen to, review and understand the health history, medical information and priorities you choose to share with us;

(b)   where relevant, consult our Programme Providers on specific aspects of your health picture, including nutrition, exercise physiology, mental health coaching and supplement considerations;

(c)    prepare your personalised CareMap, drawing on the information you have provided and any relevant Programme Provider input; and

(d)   arrange for the CareMap to be reviewed by a Clinical Advisor before it is presented to you.

4.2   Your CareMap. Your CareMap is a personalised navigation document: it organises your health picture, maps your conditions and priorities, and sets out an initial framework for your care. It is prepared by your FOUND Health team with the benefit of Programme Provider input where relevant and is reviewed by a Clinical Advisor before presentation. Where any AI tools are used in the preparation of your CareMap, all AI-assisted content is reviewed and verified by your FOUND Health team before it is included. The Clinical Advisor's role in reviewing your CareMap is limited to overseeing the accuracy and clinical appropriateness of its navigation content and does not constitute clinical recommendation. That role does not constitute a clinical consultation with you and does not give rise to a doctor-patient relationship between you and the Clinical Advisor. Where, during your Membership, you require access to a GP and do not have one, FOUND Health may, with your agreement, facilitate an introduction to an appropriate GP. That GP may, in some cases, be the same individual who acts as a Clinical Advisor to FOUND Health. In all cases, any clinical relationship arising from that introduction is formed directly between you and the GP concerned, under a separate agreement between you and that GP. FOUND Health has no clinical responsibility for any services provided within that independent relationship. The GP's role as Clinical Advisor to FOUND Health and their role as your personal GP are entirely distinct; services provided in each capacity are governed by separate terms and carry separate responsibilities. For clinical advice, diagnosis or treatment, you must consult your treating clinicians.

4.3   Programme Providers in Phase 1.  In preparing your CareMap, FOUND Health may share relevant aspects of your health information with Programme Providers whose specialist input would benefit the quality of your CareMap. Programme Providers are engaged by FOUND Health under confidentiality obligations and are bound by FOUND Health's data processing terms. They are not a substitute for your treating clinicians.

4.4   Consent for Phase 1.  By accepting these Terms, you give your explicit consent to: (a) FOUND Health receiving and processing the health information you choose to share with us during the Initial Discussion; (b) FOUND Health consulting Programme Providers on relevant aspects of your health information for the purpose of preparing your CareMap; and (c) the CareMap being reviewed by a Clinical Advisor. This consent is the lawful basis for our processing of your special category health data under the UK General Data Protection Regulation. It is given freely: you may share as much or as little as you choose, but the comprehensiveness of your CareMap will reflect the information available to us.

4.5   Consultation Fee.  The Consultation Fee is payable in advance of the Initial Discussion taking place. The fee will be confirmed to you prior to booking. It is refundable up to forty-eight (48) hours before the Initial Discussion is due to commence. No refund will be due in respect of any cancellation made within forty-eight (48) hours of the scheduled start time.

4.6   If you do not proceed to Membership.  If you choose not to proceed to Membership following the Initial Discussion, these Terms will continue to apply to the extent relevant. Your Health Data gathered during Phase 1 will be handled in accordance with our Privacy Policy, which sets out applicable retention periods and your rights in relation to that data. A summary of your data access rights following the Initial Discussion is set out in our Privacy Policy.

 

5.  PHASE 2: MEMBERSHIP

5.1   Activation. Your Membership begins only when you accept a Membership Proposal in writing. On acceptance, FOUND Health will confirm your Commencement Date and the Membership terms in this Section 5 will take effect. All Phase 1 terms continue to apply alongside these Membership terms.

5.2   Your Membership will continue for the Term set out in your Membership Proposal, subject to a minimum commitment period of one month (the “Minimum Term”), during which it may not be cancelled.

5.3   Following the Minimum Term, either party may give one calendar month's written notice to end the Membership. Notice must be given in writing.

5.4   Unless either party gives notice to terminate in accordance with Clause 5.3, your Membership will renew automatically at the end of each Term for a further period equal to the original Term. We will give you no less than 30 days' written notice before of any upcoming renewal date. You may cancel your Membership at any time before the renewal date to avoid renewal charges.

5.5   Your Membership gives you access to FOUND Health's ongoing navigation and governance services, including:

(a)    organisation, summarisation and administrative support in reviewing clinical reports, correspondence and diagnostic results;

(b)   proactive coordination with your existing specialists and Navigation Providers on your behalf;

(c)    where you have an identified need and no existing specialist for that need, presentation of a curated list of options from our partner network for your consideration, and facilitation of access once you have made and confirmed your choice in writing;

(d)   ongoing maintenance and updates to your CareMap; and

(e)    access to the Service Tools, including your Health Data and CareMap.

5.6   You have the right to cancel your Membership within 14 days of the Commencement Date (the statutory cooling-off period).  To exercise this right, please notify us in writing within that period.

5.7   Where you cancel during a billing period, fees will not be refunded except where required by law or where we determine a refund is appropriate.

5.8   Where you have an identified need and no existing specialist for that need, FOUND Health will present you with a curated list of options for your consideration (a minimum of two). FOUND Health does not rank those options or indicate a preference. You are reminded that the choice is entirely yours, that FOUND Health is not making a clinical recommendation, and that you are free to identify your own specialist for FOUND Health to coordinate with. No appointment is made and no contact is initiated with any specialist until your written confirmation of your choice has been received and recorded. Once you have confirmed your choice, FOUND Health's role is to coordinate access: making contact with the specialist's practice, booking appointments, and managing the administrative process. Clinical decisions within any specialist appointment remain the responsibility of the specialist and you. Navigation Providers deliver their services under their own professional responsibilities and terms of engagement; FOUND Health does not assume clinical responsibility for services delivered by Navigation Providers.

5.9   The Services are for your personal use only. They may not be transferred to, shared with, or used for the benefit of any other individual.

5.10Following termination of your Membership, your right of access to the Service Tools, your CareMap and your Health Data will continue for a period of 30 days to allow for an orderly transition. Retention and deletion of your Health Data following that period is governed by our Privacy Policy.

5A.  PHASE 3: EXPLORE PRODUCT

5A.1 The Explore Product is a standalone scientific research service. It is available to individuals who have completed an Initial Discussion and who wish to explore the evidence base and available options relating to their health priorities, beyond standard care. It is independent of the Membership: you may purchase the Explore Product whether or not you hold a Membership, and holding a Membership does not automatically include access to the Explore Product.

5A.2 The Explore Product is available in tiered formats, with varying depth of research, scope of inquiry and level of FOUND Health engagement, as described in your Explore Proposal. The specific scope and deliverables for your engagement will be confirmed in writing before you proceed.

5A.3 The Explore Report is a scientific research document. It sets out the findings of FOUND Health's review of available scientific literature and evidence relevant to your health priorities. It does not constitute medical advice, a clinical opinion, a diagnosis or a treatment recommendation. It is intended to inform and equip you for conversations with your treating clinicians, not to replace those conversations or those clinicians' judgment. You must discuss the contents of your Explore Report with your treating clinicians before taking any action in reliance on it. The Explore Product does not give rise to any duty of care in relation to medical outcomes or treatment decisions. We do not warrant that the Explore Report is complete, exhaustive or reflects all available scientific evidence.

5A.4 You agree not to rely on the Explore Report as the basis for any medical decision without first consulting a qualified treating clinician.

5A.4 Important notice before purchase. The Explore Report is not a substitute for clinical advice. Before accepting an Explore Proposal, please ensure you have read and understood Clause 5A.3. FOUND Health will draw your attention to this notice at the point of purchase and ask you to confirm your understanding before the engagement commences.

5A.5 Your Explore Product engagement begins when you accept an Explore Proposal in writing and pay the Explore Fee in full. FOUND Health will confirm the expected delivery timeline at that point.

5A.6 By accepting an Explore Proposal, you give your explicit consent to FOUND Health accessing and processing the Health Data and CareMap data relevant to the scope of your Explore engagement for the purpose of conducting the research and preparing your Explore Report. This consent is in addition to any consents given under Section 6 and is specific to the Explore engagement described in your Explore Proposal.

5A.7 The Explore Fee is payable in full in advance. It is refundable up to forty-eight (48) hours before the Explore Proposal is due to commence. No refund will be due in respect of any cancellation made within forty-eight (48) hours of the scheduled commencement date. 

5A.8 The Explore Report is prepared for your personal use. The underlying research methodology and FOUND Health's proprietary processes remain the intellectual property of FOUND Health. You may not share, reproduce or commercially exploit the Explore Report without our written consent.

5A.9 Subject to Clause 12.1 and to your statutory rights as a consumer, FOUND Health's total liability in connection with the Explore Product shall not exceed the Explore Fee paid by you. The Explore Report is a scientific research document provided for informational purposes only. It does not constitute medical advice, a clinical opinion, a diagnosis or a treatment recommendation, and FOUND Health accepts no liability for any action taken or not taken in reliance on its contents without prior discussion with your treating clinicians.

 

6.  CONSENT AND AUTHORISATION

6.1   Your health information is special category personal data under the UK General Data Protection Regulation (UK GDPR). We process it only with your explicit consent or another lawful basis under UK GDPR Article 9. We will always explain clearly what we are asking you to consent to, and why, before seeking your agreement.

6.2   Phase 1 consent.  Consent for the processing of your health data during Phase 1 is given by accepting these Terms, as set out in Clause 4.4. This consent is freely given: you are not obliged to share any particular information with us, but the comprehensiveness of your CareMap will reflect the information available to us.

6.3   Phase 2 additional consents.  By accepting these Terms, you also consent to the following, which will take effect from your Commencement Date:

(a)    FOUND Health accessing, reviewing and holding your medical records, clinical correspondence and diagnostic results from your existing healthcare providers and Navigation Providers;

(b)   FOUND Health contacting your existing specialists, GPs, other treating clinicians and, where relevant, other healthcare providers identified in the course of coordinating your care, on your behalf, requesting records and clinical correspondence, and facilitating communication between them;

(c)    FOUND Health sharing relevant Health Data with Navigation Providers to the extent necessary for the coordination of your care; 

(d)   FOUND Health capturing and storing data from Wearables that you choose to connect to the Service Tools; and

(e)    where FOUND Health facilitates an introduction to a GP (including a GP who also serves as FOUND Health's Clinical Advisor), that GP receiving and processing your Health Data in their capacity as your personal GP, as an independent data controller, under their own professional and regulatory obligations.

6.4   Consents may be withdrawn at any time in writing. Please be aware that withdrawing a consent may affect our ability to deliver some or all of the Services; we will notify you promptly if this is the case.

6.5   You warrant that all information and health history you provide to us is, to the best of your knowledge, accurate and complete. We accept no liability for any limitation in the Services arising from information that is inaccurate, incomplete or withheld.

6.6   If you are unable to give consent personally (for example, due to a medical condition), a legally authorised representative may give consent on your behalf, subject to appropriate evidence of their authority.

 

7.  YOUR HEALTH DATA AND CAREMAP

7.1   Your Health Data belongs to you. FOUND Health holds and processes it solely for the purpose of delivering the Services and, where you have given consent, for improving our service in an anonymised and aggregated form that does not identify you.

7.2   Your CareMap is the living record of your health journey maintained by your FOUND Health team during your Membership. It draws together your medical history, diagnostic results, specialist correspondence and wearables data into a single, coherent picture. You will always have access to your CareMap through the Service Tools during your Membership.

7.3   If you choose to connect Wearables to the Service Tools, the data generated will be captured and stored alongside your other Health Data. You are responsible for setting up and maintaining any Wearables and any associated accounts or applications required by the manufacturers. FOUND Health accepts no liability for any defect, malfunction or data inaccuracy arising from Wearables or their associated software.

7.4   The information in your CareMap and any synthesis or commentary provided by your FOUND Health team is for the purpose of care navigation and governance. It does not constitute medical advice, diagnosis or a clinical opinion, which must always be sought from your treating clinicians.

7.5   You acknowledge that Health Data, including diagnostic results, may contain information you did not anticipate. It is your responsibility to discuss any such information and its implications with your treating clinicians.

7.6   On termination of your Membership, we will make your Health Data available to you in a portable format for a period of 30 days. Following that period, your data will be retained and deleted in accordance with our Privacy Policy, which sets out the applicable retention periods and your rights.

 

8.  SERVICES AND SERVICE SERVICE TOOLS

8.1   We will provide our Services with reasonable skill and care at all times in accordance with applicable consumer law.

8.2   You acknowledge that the Services are not a substitute for professional medical advice, diagnosis or treatment. You agree that you will not rely on the Services for clinical decision-making, and that all medical decisions are made solely between you and your treating clinicians.

8.3   Nothing in these Terms should be interpreted as the FOUND Health providing regulated medical services, primary care services, or acting as a healthcare provider for you or anyone else. Our Services are limited to administrative coordination, information organisation and support.

8.4   We may suspend or restrict access to the Services where reasonably necessary to:

(a) protect the integrity of the Service;

(b) protect you;

(c) ensure compliance with these Terms; or

(d) prevent misuse.

8.5   We will always aim to respond to Member communications within a reasonable timeframe and to action coordination requests promptly, but please note this is subject to provider availability and external factors outside our control.

8.6   We may require verification of your identity before providing or continuing to provide the Services.

8.7   Your Membership includes access to the Service Tools, through which you can view your CareMap, Health Data, clinical correspondence and other information maintained by your FOUND Health team.

8.8   Third-party applications.  The Service Tools are provided by independent third-party suppliers. They are not developed, owned or operated by FOUND Health. FOUND Health selects and uses these tools to deliver the Services to you, but is not responsible for the functionality, availability or content of the underlying applications. Your use of the Service Tools may be subject to those suppliers’ own terms and conditions, which FOUND Health will make available to you on request.

8.9   Data processing agreements.  FOUND Health has data processing agreements in place with each Service Tool supplier. These agreements require each supplier to process your Health Data only in accordance with FOUND Health's instructions and in compliance with applicable data protection law, including the UK GDPR. 

8.10 You are responsible for maintaining the security of your login credentials for the Service Tools and for notifying us immediately if you suspect any unauthorised access to your account.

8.11 The Service Tools may be updated, modified or replaced from time to time, including where a supplier changes their platform or where FOUND Health transitions to an alternative provider. We will give you reasonable notice of any material change that affects your access or the way you use the tools.

8.12 We cannot guarantee that the Service Tools will be available without interruption. Where disruption arises from a third-party supplier, we will take all reasonable steps to minimise the impact and will communicate with you if there is a significant outage.

8.13 Your access to the Service Tools will cease on termination of your Membership, subject to the data access provisions in Clause 7.6.

 

9.  PROGRAMME PROVIDERS, NAVIGATION PROVIDERS AND THIRD-PARTY SERVICES

9.1   Programme Providers.  Programme Providers are specialist practitioners contracted by FOUND Health who play two distinct roles. First, they contribute expert input during your Initial Discussion to support the preparation of your CareMap. Second, where applicable during your Membership, they deliver programmes and services directly to you under FOUND Health's coordination, such as personal training, nutrition planning, health coaching and where a GP is engaged as a Programme Provider, they provide independent clinical input within their own professional responsibilities and are not directed by FOUND Health on clinical matters. Programme Providers are bound by confidentiality and data processing obligations owed to FOUND Health. Their input and programme delivery does not constitute independent clinical advice, diagnosis or treatment.

9.2   Navigation Providers. FOUND Health maintains a curated partner network of Navigation Providers who meet our quality standards. Where during your Membership we present options to you in the context of your care priorities and with your express agreement., we do so neutrally and without ranking or preference, in accordance with the process set out in Clause 5.7. Navigation Providers deliver their services under their own professional responsibilities, registration requirements and terms and conditions. Your contract for any clinical, diagnostic or specialist services is with the relevant Navigation Provider, not with FOUND Health. While the clinical and professional responsibilities for services delivered by Navigation Providers remain with the relevant provider, FOUND Health collects fees for those services on your behalf, giving you a single point of contact for all payments. 

9.3   FOUND Health does not accept responsibility for the clinical services, outcomes or conduct of Navigation Providers, although we will always act in your interests when coordinating your care and will introduce you only to providers who meet our quality standards.

9.4   FOUND Health collects fees for Navigation Provider and Programme Provider services solely as agent for the relevant provider, acting under authority granted to us by that provider. In collecting such fees, FOUND Health acts on behalf of the provider, not on your behalf. Payment made by you to FOUND Health in respect of any Navigation Provider or Programme Provider service constitutes good discharge of your payment obligation to that provider. FOUND Health will account to each provider for amounts collected on their behalf in accordance with the terms of our agreement with that provider. You will be informed of the cost of any such service before it is incurred and your authorisation will be sought before any charge is made. In the event that a provider is unable to deliver a service for which payment has already been collected, FOUND Health will notify you promptly and will arrange for the relevant amount to be refunded or credited to you on the provider's behalf. The relevant provider is responsible for determining the scope, price and delivery of their services. The FOUND Health does not set or control those terms.

9.5   We will share your Health Data with Navigation Providers only to the extent necessary for the coordination of your care, in accordance with your consent under Section 6. Before sharing your data with any specific Navigation Provider, we will inform you which provider we are sharing with and for what purpose.

9.6   GP introductions and dual-role Clinical Advisors. Where a Member does not have an existing GP relationship, FOUND Health may, with your agreement, facilitate an introduction to a GP. In some cases this may be the same clinician who acts as FOUND Health's Clinical Advisor. Where this occurs:

(a) the introduction will be made with your express agreement and following a clear explanation of the two distinct roles;

(b) the clinical relationship between you and that GP will be formed under a separate direct agreement between you and the GP, which is independent of these Terms and of FOUND Health's engagement of that clinician as Clinical Advisor;

(c) FOUND Health will have no clinical responsibility for services provided by that GP within their independent clinical relationship with you; and

(d) FOUND Health will, during your Membership and with your consent, coordinate relevant clinical correspondence with that GP in the same way it would with any other GP or Navigation Provider.

9.7   FOUND Health's liability in connection with the specialist selection process described in Clause 5.7 is limited to the process itself. Specifically: (a) FOUND Health is not liable for the clinical conduct, outcomes or errors of any specialist presented as an option or subsequently coordinated with; (b) FOUND Health is not liable for your choice of specialist from the options presented, or for your decision to select a specialist outside the options presented; and (c) FOUND Health's responsibility is limited to ensuring the process was followed correctly: that options were presented neutrally without ranking or preference, that your written confirmation of choice was obtained and recorded before any action was taken, and that coordination was executed in accordance with your instruction.

9.8   Any dispute relating to services provided by a Navigation Provider or Programme Provider must be addressed directly with that provider. The FOUND Health will provide reasonable assistance in facilitating communication but is not responsible for resolving such disputes.

 

10.  PAYMENTS AND FEES

10.1 Initial Discussion.  The Consultation Fee is payable in advance of the Initial Discussion taking place. The amount will be confirmed to you at the time of booking and is due and payable then. All fees are stated exclusive of VAT, which will be added where applicable.

10.2 Membership.  The Membership Fee is set out in your Membership Proposal. Membership Fees are payable monthly (or at such other frequency as agreed in your Membership Proposal), in advance, from the Commencement Date. All fees are stated exclusive of VAT, which will be added where applicable.

10.3 Payment is processed securely via our payments platform. By entering your payment details, you authorise us to collect fees on the dates on which they fall due. You will receive a confirmation and invoice for each payment.

10.4 If a payment is unsuccessful, we will notify you and request an alternative payment method. If payment remains outstanding after five business days, we may suspend access to the Services until the outstanding amount is settled.

10.5 FOUND Health reserves the right to review and adjust its Membership Fees. We will give you no less than 30 days' written notice of any fee change. If you do not wish to continue at the revised fee, you may give notice to terminate your Membership in accordance with Clause 5.3.

10.6 The Consultation Fee is non-refundable within forty-eight (48) hours of when the Initial Discussion is due to commence. Membership Fees paid for completed Services are non-refundable. If we are unable to deliver a Service for a reason attributable to us, we will offer you a credit or, where appropriate, a proportionate refund.

10.7 The Explore Fee is payable in full in advance of FOUND Health commencing research, as set out in your Explore Proposal. Payment terms are governed by Clause 5A.6.

10.8 When we collect funds on behalf of providers, please note that these may be held in a client account or processed through a regulated payment service provider to ensure these are protected.

 

11.  AMENDMENT FOR MEDICAL REASONS

11.1 We understand that health challenges can arise unexpectedly. If you are hospitalised or otherwise prevented by a serious illness or injury from engaging with your Membership per your Membership Proposal, please contact us. We will work with you to amend the delivery of Services during that period.

 

12.  LIMITATION OF LIABILITY – PLEASE READ CAREFULLY

12.1 Nothing in these Terms excludes or limits our liability for: (a) personal injury or death caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under applicable law, including under the Consumer Rights Act 2015. All other limitations in this Section 12 apply only to the extent permitted by law.

12.2 FOUND Health is a navigation and governance service. We do not provide medical advice, diagnosis, clinical opinion or treatment. Any synthesis, commentary or care coordination we provide is for navigation purposes only and does not replace the clinical judgement of your treating clinicians.

12.3 FOUND Health accepts no responsibility for the clinical services, outcomes or advice provided by Navigation Providers, Programme Providers (acting outside the scope of FOUND Health's direction) or any other external healthcare professional, including those introduced through our network. We do not warrant the quality or outcomes of any Navigation Provider or Programme Provider, and make no representation that any provider is the only solution appropriate for your specific circumstances.

12.4 FOUND Health accepts no responsibility for the availability, performance or content of Service Tool applications provided by third-party suppliers, except to the extent that any failure arises directly from our own negligence in selecting or managing those suppliers.

12.5 Subject to Clause 12.1 and to your statutory rights as a consumer (including under the Consumer Rights Act 2015), our total liability to you in connection with the Services (whether in contract, tort, for breach of statutory duty or otherwise) shall not exceed: (a) in respect of Phase 1, the greater of the Consultation Fee paid by you or £500; and (b) in respect of Phase 2, the total Membership Fees paid by you in the 12 months immediately preceding the event giving rise to the claim ; and (c) in respect of the Explore Product, the Explore Fee paid by you. These caps represent a genuine pre-estimate of reasonable risk allocation between us, taking into account the nature of our service as a navigation and governance provider. They do not affect your statutory consumer rights, which remain unaffected in all circumstances. The limits set out in this Clause apply in aggregate to all claims arising in connection with the Services.

12.6 We are not responsible for any loss or damage arising from: (a) inaccurate, incomplete or withheld information provided by you; (b) your failure to follow clinical advice given by your treating clinicians; or (c) events outside our reasonable control. We will also not be liable for any loss of profit, loss of opportunity, loss of chance, loss of data, loss of reputation, or any indirect or consequential loss, whether foreseeable or not.

12.7 Our Services are provided for your personal use. We have no liability for any business or commercial losses.

12.8 The Services are not suitable for emergency or urgent medical situations. If you require urgent care, you must contact emergency services or your treating clinician immediately.

 

13.  INDEMNITY

 

13.1 You agree to indemnify and hold harmless the FOUND Health from and against any claims, losses or liabilities arising from:

(a) your breach of these Terms;

(b) your misuse of the Services; or

(c) your failure to follow advice given by your treating clinicians.

14.  RESPONSIBILITY FOR YOUR CONDUCT

14.1 You are responsible for ensuring that the information and health history you provide to FOUND Health, and to any Programme Provider or Navigation Provider in connection with the Services, is, to the best of your knowledge, accurate and complete. If you provide materially false, inaccurate or misleading information, and FOUND Health or a third party suffers direct loss as a result, you may be liable to compensate FOUND Health for that loss.

14.2 You are responsible for keeping your Service Tool login credentials secure. If you share your credentials with a third party, or allow a third party to use the Services through your account, you may be liable for any direct loss suffered by FOUND Health arising directly from that breach.

14.3 The Services are for your personal use only. If you use them for the benefit of another person in breach of Clause 5.8, you may be liable for any direct loss suffered by FOUND Health arising directly from that use.

14.4 Nothing in this Section 13 affects your statutory rights as a consumer or FOUND Health's obligations to you under these Terms. Any liability under this Section is limited to direct losses actually suffered and does not extend to indirect, consequential or speculative loss.

 

15.  INTELLECTUAL PROPERTY

15.1 All intellectual property rights in FOUND Health's proprietary methodology, processes and materials (including the CareMap framework) remain the property of FOUND Health. Intellectual property rights in the Service Tools remain the property of the respective third-party suppliers.

15.2 Your CareMap and the Health Data contained within it belong to you. FOUND Health grants you a personal, non-transferable licence to access and use the Service Tools and your CareMap during your Membership, strictly for your own personal purposes.

15.3 You may not copy, distribute, reproduce or commercially exploit any materials provided by FOUND Health in connection with the Services.

15.4      The name “FOUND Health”, the FOUND Health logo and any related brand names, logos or service names are trademarks of the FOUND Health (whether registered or unregistered).

15.5      You may not use, reproduce or display any of these trademarks without our prior written consent.

 

16.  DATA PROTECTION AND PRIVACY

16.1 FOUND Health takes the privacy and security of your Health Data extremely seriously. Because your data includes special category health information, we apply the highest standards of care in how we collect, store, process and share it.

16.2 Full details of how we use your personal data, your rights in relation to it, and the safeguards we apply are set out in our Privacy Policy, which forms part of your agreement with us and is available at www.FOUND Health.co.uk. We strongly encourage you to read it.

16.3 We will comply with all applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018, in all our processing of your personal data.

16.4 Your Health Data will be shared with Programme Providers, Navigation Providers and other third parties only as described in these Terms and as set out in our Privacy Policy. 

16.5 For the purposes of data protection law, the FOUND Health acts as an independent data controller in relation to your personal data. Navigation Providers and Programme Providers act as independent data controllers in respect of any services they provide to you. The FOUND Health does not act as a data processor on behalf of your healthcare providers.

 

17.  COMPLAINTS

17.1 We are committed to providing a service that meets your highest expectations. If at any point you feel that something has fallen short, we want to hear from you.

17.2 You may raise a concern or complaint by contacting your FOUND Health team directly or by writing to us at hello@FOUND Health.co.uk. We aim to acknowledge all complaints within two business days and to provide a full written response within 20 business days.

 

18.  CHANGES TO THESE TERMS

18.1 We may update these Terms from time to time. We will notify you of any material changes by email or through the Service Tools with no less than 30 days' notice before the change takes effect.

18.2 If you do not agree to the revised Terms, you may give notice to terminate your Membership in accordance with Clause 5.3. Your continued use of the Services after the effective date of any change will be treated as acceptance of the updated Terms.

 

19.  FORCE MAJEURE

FOUND Health will not be in breach of these Terms, nor liable for any failure or delay in performing any obligation, where such failure or delay is caused by circumstances beyond our reasonable control, including (without limitation) public health crises, government restrictions, acts of God, natural disasters, or failure of third-party technology infrastructure (a "Force Majeure Event"). In such circumstances, we will contact you as soon as reasonably practicable and will take all reasonable steps to minimise the impact on your Services. If a Force Majeure Event prevents FOUND Health from delivering the Services entirely for a continuous period exceeding 30 days, you will be entitled to a pro-rata credit for the period of complete non-delivery, applied against your next Membership Fee payment or, if your Membership has ended, refunded to you. No credit arises in respect of periods of partial service delivery. If the disruption continues for more than three months, either party may terminate the Membership on 30 days' written notice. Where you terminate under this provision and a credit has already accrued under the paragraph above, that credit will be refunded to you on termination.

 

20.  GENERAL

20.1 Entire agreement.  These Terms, together with your Membership Proposal and Explore Proposal (where applicable) and our Privacy Policy, constitute the entire agreement between you and FOUND Health in relation to the Services and supersede all prior discussions, representations or agreements.

20.2 Eligibility.  The Services are available to all individuals and are for personal use only. FOUND Health reserves the right to decline or discontinue Services where, in its reasonable judgment, the Services are not appropriate for an individual's needs.

20.3 No third-party rights.  These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.

20.4 Severance.  If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

20.5 Governing law and jurisdiction.  These Terms are governed by the law of England and Wales. Any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
